Important information
CrewCircuit is a business software service for companies, organisations, and self-employed professionals managing staffing and shift operations. Paid subscriptions are offered for business or professional use only and are not intended for consumer purchases. By creating an account, starting a subscription, or accepting these Terms during signup, you confirm that you are authorised to act for the business or organisation you represent.
1. Definitions
“CrewCircuit,” “we,” and “us” mean Obeta Gregory Chukwuma operating CrewCircuit. “Services” means the CrewCircuit web and mobile applications, APIs, and related features. “Customer” means the business or professional account holder. “Users” are admins, managers, workers, or invited people using the Services.
2. Eligibility and Accounts
You must be at least 18 years old to use the Services. Paid subscriptions are available only to businesses, organisations, self-employed professionals, or people acting for them. You are responsible for accurate account information, credential security, and all activity under your account.
3. Scope of Service
CrewCircuit provides tools to create jobs and shifts, manage staffing, handle worker applications, record attendance, support QR check-ins, and prepare workforce reports, invoices, payroll exports, or related operational records. Features may evolve over time.
4. Customer Responsibilities
The Customer is responsible for shift data, worker information, employment status, payroll, tax, labour-law compliance, required notices, consents, and the right to upload or process personal data. CrewCircuit is a software provider and does not act as an employer, staffing agency, payroll provider, tax adviser, or legal adviser unless agreed separately in writing.
5. Acceptable Use
You may not use the Services unlawfully, attempt unauthorised access, transmit malware, scrape or overload the platform, interfere with availability, or upload abusive, illegal, or rights-infringing content. We may restrict access where necessary to protect the Services, other users, or legal compliance.
6. Plans, Fees, and Taxes
Paid features, prices, billing periods, and payment terms are shown in the product, checkout, or order form. Unless stated otherwise, prices for business customers are quoted exclusive of statutory VAT where applicable. We may suspend paid features after reasonable notice if fees remain unpaid.
7. Cancellations and Refunds
Subscriptions may be cancelled at the end of the current billing cycle unless the order form states otherwise. Refunds are provided only where required by law or expressly stated in the applicable order. If we terminate a prepaid subscription without cause, we will prorate prepaid fees for the unused period.
8. Data Processing and Privacy
We process personal data as described in the Privacy Policy. Where a Customer uploads workforce, client, attendance, or payroll-related data, the Customer controls that data and CrewCircuit acts as a processor on the Customer’s behalf. Data processing terms and security commitments are available upon request.
9. Intellectual Property
The Services, software, interface, workflows, and CrewCircuit branding are owned by CrewCircuit or its licensors. During your subscription or authorised access period, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business operations.
10. Third-Party Services
The Services may integrate with payment, hosting, storage, mapping, analytics, messaging, or other third-party services. Those services may be subject to separate terms and availability. We are responsible for third-party services only to the extent required by applicable law or an agreement with you.
11. Suspension and Termination
We may suspend or terminate access for a material breach, security risk, unpaid fees after notice, unlawful use, or where required by law. You may stop using the Services at any time. After termination, access ceases and data may be retained, exported, deleted, or de-identified according to the product settings, our policies, and legal requirements.
12. Warranties and Service Availability
We provide the Services with reasonable care and aim to keep them available and secure. We do not guarantee uninterrupted or error-free operation. Statutory rights, mandatory warranties, and liability that cannot be excluded by law remain unaffected.
13. Liability
Nothing in these Terms limits liability for intent, gross negligence, injury to life, body, or health, guarantees expressly assumed, mandatory product liability, or any other liability that cannot be limited by law. For slight negligence, we are liable only for breach of essential contractual obligations; in that case liability is limited to foreseeable, typical damages. Otherwise, liability for slight negligence is excluded to the extent permitted by law.
14. Customer Cooperation and Third-Party Claims
If a third party makes a claim because of data, content, instructions, or unlawful use for which the Customer is responsible, the Customer will reasonably cooperate with us and reimburse necessary, reasonable costs and damages to the extent caused by the Customer’s breach of these Terms or applicable law, subject to mandatory law.
15. Governing Law and Venue
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods where applicable. If the Customer is a merchant, legal entity under public law, or special fund under public law, the venue is Berlin, Germany. Mandatory law remains unaffected.
16. Changes to Terms
We may update these Terms from time to time and will show the latest version with its date on this page. Material changes will be communicated in a reasonable way. Continued subscription or use after an effective date applies only where legally valid; otherwise, the existing terms continue until renewal, termination, or a new acceptance.
